1. Agreement to Terms

By accessing or using OwlUp ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Service.

We may update these Terms from time to time. Continued use of the Service after changes constitutes acceptance of the new Terms.

2. Description of Service

OwlUp is an audio learning platform that provides access to educational audio courses ("Content"). We offer:

  • Free tier: Access to the first episode of every course
  • Subscription: Unlimited access to all Content

3. Accounts

To access certain features, you must create an account. You are responsible for:

  • Providing accurate account information
  • Maintaining the security of your password
  • All activities that occur under your account

You must be at least 13 years old to create an account. By creating an account, you represent that you meet this age requirement.

4. Subscriptions and Payments

Subscription Plans

We offer the following subscription options:

  • Monthly: $2 per month, billed monthly
  • Annual: $20 per year, billed annually

Billing

Subscriptions are billed in advance on a recurring basis (monthly or annually, depending on your plan). Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date.

Payment Processing

All payments are processed securely through Stripe. By subscribing, you authorize us to charge your payment method for the subscription fees.

Price Changes

We reserve the right to change subscription prices. Any price changes will be communicated in advance and will apply to the next billing cycle.

5. Cancellation Policy

You may cancel your subscription at any time through your account dashboard or by contacting us.

  • Cancellation takes effect at the end of your current billing period
  • You will retain access to the Service until your paid period ends
  • No partial refunds are provided for unused time within a billing period

6. Refund Policy

We want you to be satisfied with OwlUp. Our refund policy is as follows:

  • Within 7 days: If you are not satisfied with your subscription, you may request a full refund within 7 days of your initial purchase, provided you have not substantially used the Service.
  • After 7 days: Refunds are generally not provided after 7 days, but we may consider requests on a case-by-case basis.
  • Annual subscriptions: For annual plans, refund requests after 7 days may receive a prorated refund at our discretion.

7. Intellectual Property

All Content on OwlUp, including but not limited to audio recordings, text, graphics, and logos, is owned by OwlUp or our content licensors and is protected by copyright and other intellectual property laws.

You may:

  • Stream and listen to Content for personal, non-commercial use

You may not:

  • Download, copy, or redistribute Content
  • Use Content for commercial purposes
  • Remove any copyright or proprietary notices
  • Share your account credentials with others

8. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the Service
  • Use automated systems to access the Service without permission
  • Reverse engineer or attempt to extract the source code

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OWLUP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Termination

We may terminate or suspend your account and access to the Service at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.
